1. Introduction

4. Payment Terms

   The Client shall pay all fees and charges due to the Company within the timeframes specified in the Agreement. Late payments shall attract interest at the rate of 10%.

   The Company retains all intellectual property rights in and to the Services, including but not limited to software, documentation, and other materials.

6. Confidentiality

   The Company shall maintain the confidentiality of all Client information and data. The Company shall not disclose any Client information or data to any third party without the Client's prior written consent.

7. Warranties and Representations

   The Company warrants and represents that:

   • The Services shall be provided with reasonable care and skill.
   • The Services shall comply with all applicable laws and regulations.

8. Limitation of Liability

   The Company shall not be liable for any damages, losses, or expenses arising from:

   • Any breach of the Agreement by the Client.
   • Any failure or delay in the provision of the Services due to circumstances beyond the Company's control.

9. Termination

   Either party may terminate the Agreement upon 7 days' written notice to the other party.

10. Governing Law

    The Agreement shall be governed by and construed in accordance with the laws of Uganda.

11. Dispute Resolution

    Any disputes arising from the Agreement shall be resolved through arbitration.

12. Acceptance of Terms

    By engaging the Company's services, the Client acknowledges that they have read, understood, and agreed to be bound by these Terms.

13. Changes to Terms

    The Company reserves the right to modify or update these Terms at any time. The Client shall be notified of any changes to the Terms.
